ARTICLE VI - CONTRACTS, CHECKS,
DEPOSITS, FUNDS,
GRANTS, and LOANS Section 1. The
Board of Directors may authorize any officer or officers, agent or agents of the
corporation, in addition to the officers authorized by these Bylaws, to enter into any
contract or execute and deliver any instrument in the name of and on behalf of the
corporation, and such authority may be general or confined to specific instances.
Section 2. All checks, drafts, or orders for the
payment of money, notes or other evidences of indebtedness issued in the name of the
corporation, shall be signed by at least two officers of the corporation.
Section 3. All funds of the corporation shall be
deposited from time to time to the credit of the corporation in such banks or other
depositories as the Board of Directors may select.
Section 4. The corporation may accept any money or
property grants or portions thereof from any member, producer, individual, foundation,
business, corporation, or other legal entity as approved by the Board of Directors.
Section 5. The corporation may accept money or
property loans or portions thereof from any member, producer, individual, foundation,
business, corporation, or other legal entity as approved by the Board of Directors.
ARTICLE VII - OFFICES
Section 1. The principal office of the corporation in
the State of South Dakota shall be located in the town of Ipswitch, County of Edmunds. The
corporation may have such other offices, either within or without the State of South
Dakota as the Board of Directors may determine or as the affairs of the corporation may
require from time to time.
Section 2. The corporation shall have and
continuously maintain in the State of South Dakota a registered office, and a registered
agent whose office is identical with such registered office. The registered office may be,
but need not be, identical with the principal office in the State of South Dakota, and the
address of the registered office may be changed from time to time by the Board of
Directors.
ARTICLE VIII - CERTIFICATES of MEMBERSHIP
Section 1. The Board of Directors may provide for the
issuance of certificates evidencing membership in the corporation which shall be in such
form as may be determined by the Board. The name and address of each member and the date
of issuance of the certificate shall be entered on the records of the corporation. |
